Documents needed for building up a business corporation (LLC/ Ltd- explanation of terms)

Memorandum of association: (certified by a lawyer or a public notary) which must contain the following, according to the 7th article from 31/16.11.1990 republished law: a) identification data of the partners; b) the form, the name and the social centre; c) the object of activity of the corporation stating precisely the main field and activity; d) capital stock (social capital), mentioning each partner’s contribution of capital, in cash or in kind, the value of the in kind contribution and the means of evaluation – when talking about ltd it has to be mentioned both the number and the nominal value of the social parts and the number of the social parts assigned to each associate for his/her contribution; e) the associates who represent and manage the corporation or the non-associates managers; their identification data, the powers they were conferred on, and if they are to wield them together or separately- if the censor or the auditor have been appointed, their identification data have to be also included. F) each associate’s share profit and loss; g) secondary offices- branch offices, agencies, or other similar business units without legal status- when they are set up at the same time as corporation or the conditions for their future setting up if we consider any; h) the length of time of the corporation; i) the way of dissolution and liquidation of the corporation;

Fiscal record of each associate or manager ;

Property contract, lease and under lease agreement, contract of association, real-estate leasing agreement, usage contract, beneficial contract, (just one of them is necessary).

The agreement of the owners or lodgers association, if it is called for.

The agreement of neighbors (riverside residents or, more precisely those situated vertically and horizontally as against your space if it is called for.

ID and passport copies of the associates or administrators.

Sample signature of the administrator/ administrators of the corporation.

Certified statements on their own responsibility that they are able to fulfill that quantity of the associates or by the senior associates to the person charged with taking the file to the Commercial Register Office (CRO).

The proof of deposing the social capital at a bank chosen by the corporation associates.

Statement (CRO form) signed by one of the associates (associate’s statement form with/without activity at the head office.

Fiscal Vector- Annex 1- which is usually attached to registration demand.
